• Conflict: In the event of any conflict between these general Terms and the specific Service Agreement/SOW, the terms of the Service Agreement/SOW shall prevail.

• Data Backup: Acknowledge that while We may provide backup services, your organization retain primary responsibility for maintaining independent, complete backup copies of all your data, information, and software.
8. Fees, Billing, and Payment
• Pricing: All fees for the Services are as outlined in your specific Service Agreement or SOW.
• Payment Terms: your organization agrees to pay all invoices in full by the due date specified on the invoice. Failure to pay on time may result in penalties or interest charges.
• Service Suspension: We reserve the right to immediately suspend or terminate access to the Services, with or without notice, if any invoice is overdue by 30 days.
• Refunds: All fees are non-refundable, except as expressly stated in our separate Refund Policy (available at: [https://geeksonlinesupportdesk.com/refund-policy]).
• Fee Changes: We reserve the right to modify our Service fees upon providing the Client with at least 30 days' written notice before the change takes effect.
9. Termination
9.1 Termination by Client
your organization may terminate their Service Agreement as outlined in that document. Termination of a Service Agreement does not automatically terminate these general Terms until your organization cease all use of our website and services.
9.2 Termination by Company
We may terminate or suspend your organization access to the Services immediately, without prior notice or liability, if:
a. your organization breach these Terms or the Service Agreement (e.g., non-payment).
b. your organization misuse the Services or engage in any fraudulent, illegal, or harassing conduct.
10. Intellectual Property
• Our IP: All content, features, and functionality of the Services, including proprietary software, processes, documentation, and the website design, are and will remain the exclusive property of GEEKS ONLINE SUPPORTDESK and its licensors.
• Client Data: All data and information provided by your organization to utilize the Services remains your property.
• License: We grant your organization a limited, non-exclusive, non-transferable, revocable license to use the Services solely for their internal business operations, subject to these Terms.
11. Disclaimers and Limitation of Liability
11.1 Service "As Is"
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
11.2 Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall GEEKS ONLINE SUPPORTDESK, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data loss, business interruption, or system failure, whether arising in contract, tort (including negligence), or otherwise.
11.3 Financial Cap
Our total aggregate liability to your organization for any claim arising out of or relating to these Terms or the Services is limited to the amount paid by your organization for the Services in the six (6) months preceding the event giving rise to the claim.
12. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Brampton, Ontario.
13. Independent Service Provider & Non-Affiliation Notice
Geeks Online Supportdesk is an independent IT consulting provider. We are not affiliated with, authorized by, or endorsed by any third-party brand, product, or service mentioned on this website. Our services focus on general IT consulting and guidance, without acting as official support for any branded products.
14. Changes to Terms
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will provide at least 30 days' notice before any new terms take effect.
